Effective date: October 17, 2026

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OBEYMARY. BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE LEGALLY BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and ObeyMary LLC ("ObeyMary," "we," "us," or "our"), governing your access to and use of the ObeyMary platform, website, AI assistant, and all related services (collectively, the "Service").

By creating an account, clicking "I Agree," accessing the Service, or otherwise using ObeyMary in any manner, you: (a) represent that you are at least 18 years of age and have the legal authority to enter into this agreement; (b) represent that if you are using the Service on behalf of an organization, you have the authority to bind that organization to these Terms; and (c) unconditionally agree to all terms herein.

These Terms supersede all prior agreements, representations, or understandings between you and ObeyMary relating to the Service.

2. Description of Service

ObeyMary provides an AI-powered compliance information platform designed to assist licensed cannabis operators in researching regulatory requirements across U.S. jurisdictions. Features may include an AI assistant ("Mary"), a searchable regulatory database, SOP generation tools, audit log functionality, project management tools, and third-party integrations (collectively, the "Service").

ObeyMary reserves the right, at any time and without notice, to: modify, suspend, or discontinue the Service or any feature thereof; update, alter, or remove content from the platform; change pricing, plans, or feature availability; or restrict access to certain parts of the Service.

We do not guarantee that the Service will be available at any particular time, that it will be error-free, or that it will meet your specific requirements. Your use of the Service is entirely at your own risk.

3. No Legal Advice; No Attorney-Client Relationship

OBEYMARY IS NOT A LAW FIRM AND DOES NOT PROVIDE LEGAL ADVICE. Nothing on the Service, including any output from Mary, any regulatory summaries, SOP templates, audit logs, or any other content, constitutes legal advice, legal opinion, or the practice of law.

No attorney-client relationship is created by your use of the Service, by any communication you have with ObeyMary, or by any output you receive from Mary. The information provided is for general informational and research purposes only.

You are solely responsible for obtaining qualified legal counsel before making any compliance decisions, filing with any regulatory agency, taking any action in response to a regulatory inquiry, or relying on any information provided by the Service.

ObeyMary expressly disclaims any liability arising from your reliance on the Service as a substitute for professional legal or compliance advice. Any regulatory fines, penalties, license suspensions, violations, or legal consequences arising from your reliance on the Service are entirely your responsibility.

4. AI Limitations & Disclaimers

Mary, the ObeyMary AI assistant, uses large language models from third-party providers together with a library of regulatory sources. You acknowledge and agree that:

You assume all risk associated with your reliance on AI-generated content. ObeyMary expressly disclaims all liability for any errors, omissions, or inaccuracies in Mary's responses and for any consequences arising therefrom.

5. Subscription & Billing

Access to paid features of the Service requires a paid subscription or other paid transaction. Purchases processed through Paddle are completed with Paddle as the merchant of record and authorized reseller.

Paddle may retry failed payments, cancel a transaction, cancel a subscription, or stop future billing in accordance with Paddle's terms. ObeyMary may suspend access to paid features if payment is not completed or if Paddle notifies us that a transaction has failed, been reversed, or been cancelled.

Free trials and free plans are offered at ObeyMary's sole discretion. If a free trial converts into a paid subscription, billing will be handled by Paddle under the terms shown at checkout and in Paddle's confirmation email.

6. Refunds

Purchases processed by Paddle are subject to Paddle's Refund Policy. Refund requests must be submitted to Paddle within 14 days of the transaction date.

Refund requests can be made through the "View receipt" or "Manage subscription" link in your Paddle confirmation email, through the support link in your receipt or account billing page, or at paddle.net.

Paddle reviews refund requests in accordance with its applicable buyer, refund, and transaction terms. Paddle may approve a full refund, approve a partial refund, or decline the request.

If Paddle approves a refund, it will be processed using the same payment method where possible and within 14 days of approval, and access to the relevant ObeyMary product, subscription, or service may cease.

ObeyMary's collection and use of personal information is governed by our Privacy Policy, which is incorporated herein by reference. ObeyMary is not responsible for data loss due to User error, account termination, or technical failure. You are encouraged to maintain independent backups of your data.

10. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless ObeyMary LLC and its officers, directors, employees, contractors, agents, licensors, and successors (collectively, "ObeyMary Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

IN NO EVENT SHALL OBEYMARY'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO OBEYMARY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).

THE FOREGOING LIMITATIONS APPLY REGARDLESS OF WHETHER OBEYMARY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE FORM OF ACTION.

You acknowledge and agree that:

13. Termination

You may terminate your account at any time by deleting it or closing your organization in your account settings, or by contacting support. Refunds are handled as described in Section 6.

ObeyMary may, in its sole discretion and without liability, immediately suspend or permanently terminate your account and access to the Service, with or without notice, for any reason, including but not limited to: violation of these Terms, non-payment, fraudulent activity, conduct harmful to ObeyMary or other users, or at ObeyMary's business discretion.

Upon termination: (a) your license to use the Service immediately terminates; (b) ObeyMary will delete or may delete your data as described in our Privacy Policy; (c) you remain responsible for all outstanding fees; and (d) Sections 3, 4, 8, 9, 10, 11, 12, 14, 15, and this section survive termination.

14. Dispute Resolution; Binding Arbitration; Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Informal Resolution. Before initiating any formal dispute, you agree to contact ObeyMary at legal@obeymary.ai and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration. If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules (or Commercial Arbitration Rules if you are a business), rather than in court. The arbitration shall be conducted in Chicago, Illinois, or remotely at the arbitrator's discretion. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver. YOU AND OBEYMARY EACH WAIVE THE RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, CLASS ARBITRATION, OR COLLECTIVE PROCEEDING. All claims must be brought in your individual capacity only.

Exception. Either party may seek emergency injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Cook County, Illinois.

16. Changes to Terms

ObeyMary reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and, where feasible, by email. The "Last Updated" date at the top of this page will reflect the most recent revision.

Your continued use of the Service after any modification constitutes your binding acceptance of the revised Terms. If you do not agree to the revised Terms, you must immediately cease using the Service and cancel your subscription.

17. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and ObeyMary regarding the Service and supersede all prior agreements.

Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

No Waiver. ObeyMary's failure to enforce any right or provision shall not constitute a waiver of that right.

Assignment. You may not assign your rights or obligations under these Terms. ObeyMary may freely assign these Terms in connection with a merger, acquisition, or sale of assets.

Force Majeure. ObeyMary shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, pandemics, government action, or internet disruptions.
